Terms of Service

Effective September 30, 2026

These Terms of Service govern your access to and use of the VendorOS website, mobile applications, and related services. By creating an account or using VendorOS, you agree to these Terms.

Eligibility and authority

You must be at least 18 years old and legally able to enter into a contract to use VendorOS. If you use VendorOS for a business or organization, you represent that you have authority to accept these Terms for that organization. VendorOS is currently offered for use in the United States.

Your account and organization

You must provide accurate account information, keep your sign-in credentials secure, and promptly update information that changes. You are responsible for activity performed through your account and for assigning appropriate roles and permissions within your organization. Notify us promptly if you believe an account or organization has been accessed without authorization.

Organization owners control membership, settings, connected providers, and business records. Staff accounts may act only within the permissions granted to them. You may not share credentials in a way that bypasses plan limits, security controls, or accountability features.

VendorOS services

VendorOS provides tools for inventory, catalog lookup, market-price reference, card scanning, labels, sales, purchases, trades, events, reporting, and supported third-party integrations. Features and limits vary by plan, platform, provider availability, and product readiness.

You are responsible for reviewing records before relying on them. You control the prices you charge and the transactions you record. VendorOS is not the buyer or seller in your transactions, a professional card grader, a tax adviser, or a guarantee of an item's identity, condition, authenticity, value, or saleability.

Catalog, pricing, and scanning information

Product records, images, population data, recent sales, and market prices may come from third-party providers. This information may be delayed, incomplete, unavailable, or inaccurate. A market value is an estimate and may differ from an actual sale because of condition, grade, finish, language, location, demand, fees, taxes, or other factors.

Scanner and Card Inspection features assist with matching, alignment, measurements, and visual review. You must confirm the selected catalog item and inspect the physical item yourself. VendorOS does not provide authentication or predict or guarantee a professional grading result.

Subscriptions and billing

VendorOS offers a Free plan and optional paid plans. Current prices, billing intervals, included features, and limits are shown on the website before purchase. Paid subscriptions renew automatically for the selected interval until canceled. Upgrades may take effect immediately and may be prorated; downgrades and cancellations generally take effect at the end of the current billing period, as shown during the change.

Subscription purchases and management occur on the VendorOS website through our billing provider. You authorize the applicable charges, including taxes when required. Except where required by law or expressly stated at purchase, payments are nonrefundable. Failure to pay may result in loss of paid features or a return to Free-plan limits, but does not erase business records solely because a plan changes.

Connected services and payments

If you connect Square, Stripe, Google, Apple, or another provider, your use of that provider remains subject to its terms and policies. You authorize VendorOS to exchange the information and instructions needed to provide the connection. Provider outages, account holds, rejected transactions, catalog differences, and other provider actions may affect VendorOS features.

You are the merchant responsible for your customer transactions, refunds, disputes, receipts, taxes, and compliance. VendorOS does not hold customer funds and is not a bank or payment processor.

Your content and business records

You retain ownership of the inventory, images, notes, transaction records, and other content you submit. You grant VendorOS a limited license to host, process, transmit, reproduce, and display that content as necessary to operate, secure, support, and improve the service. You represent that you have the rights needed to submit the content and authorize this use.

Our Privacy Policy describes how we collect, use, retain, and delete information. You are responsible for obtaining any notices or permissions required before entering another person's information into VendorOS.

Acceptable use

You may not use VendorOS to:

  • Break the law or facilitate fraud or deceptive conduct.
  • Infringe intellectual-property, privacy, publicity, or other rights.
  • Upload malicious code or interfere with the security, availability, or normal operation of the service.
  • Probe, scrape, reverse engineer, or access the service or its data except as allowed by law or a documented VendorOS interface.
  • Circumvent permissions, rate limits, plan limits, or other access controls.
  • Use catalog or provider data in a way prohibited by the applicable provider's terms or licenses.

Availability and changes

We work to keep VendorOS reliable, but the service is not guaranteed to be uninterrupted or error-free. We may maintain, modify, add, limit, suspend, or discontinue features. We may also change plan limits or prices, with notice when required. Material changes to these Terms will be posted with a new effective date, and continued use after the change takes effect constitutes acceptance.

Suspension and termination

You may stop using VendorOS at any time and may request account deletion through the account deletion page. We may restrict or suspend access when reasonably necessary to protect the service or its users, investigate misuse, comply with law, address nonpayment, or enforce these Terms. We may terminate access for a material or repeated violation.

Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limitations, and dispute provisions. Data handling after termination is described in the Privacy Policy.

Intellectual property and feedback

VendorOS and its software, design, branding, and original content are protected by intellectual-property laws. These Terms give you a limited, nonexclusive, nontransferable, revocable right to use the service for your internal business operations. They do not transfer ownership of VendorOS or third-party content to you.

If you provide feedback or suggestions, you permit us to use them without restriction or compensation, provided we do not identify you publicly without permission.

Disclaimers

To the maximum extent permitted by law, VendorOS is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement, and any warranty arising from a course of dealing. We do not warrant that third-party data, integrations, or suggested values will be accurate, current, complete, or available.

Limitation of liability

To the maximum extent permitted by law, VendorOS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the service. VendorOS's total liability for claims arising out of or relating to the service will not exceed the greater of $100 or the subscription fees you paid to VendorOS during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold VendorOS harmless from third-party claims, losses, and expenses arising from your content, your business transactions, your violation of law, or your material breach of these Terms.

General terms

These Terms and the Privacy Policy are the agreement between you and VendorOS regarding the service. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, financing, reorganization, or sale of the service. Applicable law governs these Terms and any nonwaivable rights remain unaffected.
